OUR TEAM
Ken
Gudorf has a substantial background in both investing
in companies and in providing management oversight. His educational
background includes an MBA in Finance from the University
of Michigan and a BA from the University of Dayton.
He was responsible for Gulf Oil's acquisition and divestiture
department in the late 1970s and early 1980s, and his experience
included many non-energy deals including software development,
paint, asphalt, and various real estate activities.
As CFO of Diversified Energies, Mr. Gudorf led the corporate
effort to diversify via combination of acquisitions and start-up
activities. This included a $50 million acquisition of a telecommunications
manufacturer, a $125 million oil and gas company, an oil field
services company, and a start-up appliance repair business.
As CFO of the Carlson Companies (Radisson Hotels, TGIF Restaurants
and Carlson Travel Network) Mr. Gudorf participated in the
review of numerous investment opportunities both for the company
and the Carlson family, and led the effort in finding and
negotiating the acquisition of a substantial wholesale travel
company.
In addition, Mr. Gudorf had business and financial responsibilities
as vice chairman of Gage Marketing Group. He was also active
in establishing four start-up ventures for Gage. In each one,
Mr. Gudorf played a key role in setting the strategic plan
for the entity as well as negotiating the compensation plans
for management.
Mr. Gudorf has also been actively involved in the investment
community as a member of the Investment Advisory Council for
the Minnesota State Board of Investments (SBI) since 1984.
The Advisory Council provides advice and counsel to the SBI
with respect to $42 billion of pension investments for Minnesota
state employees. Mr. Gudorf has focused on the alternative
investment area of fund investment and is the chairman of
the SBI's Alternative Investment Committee which currently
has an investment allocation of $3.8 billion. In this capacity,
he has met with and actively discussed alternative investment
strategies and investment performance with leading private
equity and venture capital investment companies throughout
the United States
Mr. Gudorf was also on the Board of Directors and chairman
of the Audit Committee of ZEOS International, a start up company
that went public in 1990. ZEOS' sales were over $250 million
when it was successfully merged in 1995 with two subsidiaries
of Micron Technology. In addition, Mr. Gudorf is also a director
of Gage Marketing Group, a diversified marketing services
entity.

Don
Haas has extensive experience with investing in and operating
mid-market private companies. His background includes 12-year
career at Price Waterhouse and operating experience as CFO
of several companies within a holding company environment.
He received an undergraduate degree with an accounting major
from the University of Wisconsin at La Crosse and an MBA from
the University of Minnesota in 1978.
As a partner at Price Waterhouse, Mr. Haas was responsible
for the Minneapolis middle market audit and merger and acquisition
practices. Mr. Haas has extensive experience with public reporting
requirements and financings ranging from small private placements
to large public offerings. He was a key advisor to scores
of transactions.
Mr. Haas left Price Waterhouse to be the CFO of a private
investment company, NJK Holding Corporation (NJK). NJK had
nine portfolio companies largely participating in the information
services industry including: computerized testing, litigation
support, health insurance claim processing, automobile leasing
and software development. At NJK, Mr. Haas was part of the
3-member team responsible for strategy, executive management,
financial operations, corporate development, acquisitions
and divestitures. The combined companies employed approximately
2,000. In 1995 and 1996, Mr. Haas was integral to the divestiture
of many of the portfolio companies which resulted in substantial
investment returns.
During his career, Mr. Haas has been active in the community
serving on two nonprofit boards, teaching at the University
of St. Thomas, speaking at the University of Minnesota and
participating in Rotary International.
